Notice of the company split and the business transfer between consolidated subsidiaries
Santec Holdings Corporation (hereinafter the “Company”) has announced that Santec LIS Corporation (hereinafter the “LIS”) and Santec OIS Corporation (hereinafter the “OIS”), wholly-owned subsidiaries of the Company, have today signed the absorption-type company split agreement (hereinafter the “Agreement”) under which the OCT business operated by OIS will be demerged and taken over by LIS.

(2) Structure
This is a company split in which OIS is the splitting company and LIS is the succeeding company. There will be no change in the company name, location, capital or fiscal year end of the splitting or succeeding company as a result of this structure.
(3) Rights and obligations to be assumed by the successor company
LIS will succeed all assets, liabilities and all claims & obligations, employment contracts and other rights & obligations (including contractual status) relating to the OCT business as at April 1st, 2025. The obligations to be succeeded by the successor company (LIS) are guaranteed by the split company (OIS).

4. Impact on financial performance
As the split and successor companies are wholly-owned subsidiaries of the Company, this absorption-type demerger will have no impact on the consolidated results of the Company.
